Welcome to Gilded Shimmer Soaps. These Terms of Service (“Terms”) govern your access to and use of the website located at www.gildedshimmersoaps.com (the “Site”), as well as any products, services, content, or features offered by Gilded Shimmer Soaps (“we,” “us,” or “our”). Please read these Terms carefully before using the Site or making a purchase.
By accessing the Site, creating an account, or placing an order, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Site. These Terms contain a binding arbitration clause and a class action waiver in Section 14. Please review them carefully, as they affect your legal rights.
1. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Site or make a purchase. By using the Site, you represent and warrant that you meet this requirement and have the legal capacity to enter into a binding contract. If you are using the Site on behalf of an entity, you represent that you have authority to bind that entity to these Terms.
2. Account Registration
Some features of the Site, including placing orders, may require you to create an account. When you create an account, you agree to:
• Provide accurate, current, and complete information;
• Maintain and promptly update your account information;
• Keep your password confidential and secure; and
• Accept responsibility for all activities that occur under your account.
You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to safeguard your account credentials. We reserve the right to suspend or terminate accounts at our discretion, including for violations of these Terms.
3. Products and Orders
Product Descriptions. We strive to display our soap products and other items accurately, including colors, scents, ingredients, and weights. However, actual products may vary slightly due to the handmade nature of our goods and differences in monitor displays. Slight variations in color, shape, and finish are characteristic of handcrafted soaps and are not defects.
Pricing. All prices are listed in U.S. dollars and are subject to change without notice. We reserve the right to correct any pricing errors and to refuse or cancel orders placed at an incorrect price, even after an order has been submitted or confirmed.
Order Acceptance. Your submission of an order constitutes an offer to purchase. We reserve the right to accept, refuse, or cancel any order for any reason, including suspected fraud, inventory limitations, or errors in product or pricing information. A contract of sale is formed only when we ship your order. Order confirmation emails are acknowledgments of receipt, not acceptance.
Payment. You agree to pay all charges for your orders, including applicable taxes and shipping fees, using the payment method you provide. You represent that you are authorized to use the payment method submitted.
4. Shipping and Delivery
Shipping times, costs, and methods are described on the Site and may vary by destination. Risk of loss and title for products pass to you upon our delivery of the products to the carrier. We are not responsible for delays, loss, or damage caused by carriers, customs, or events outside our reasonable control.
5. Returns, Refunds, and Cancellations
For health and hygiene reasons, used or opened personal care products generally cannot be returned. Our return and refund policy, including any exceptions for damaged or defective items, is set forth on the Site and is incorporated into these Terms by reference. To request a return, refund, or order cancellation, please contact us using the information at the end of these Terms within the timeframe stated in our return policy.
6. Allergies, Sensitivities, and Product Use
Our products contain natural ingredients, essential oils, fragrances, and other substances that may cause allergic reactions or sensitivities. You are responsible for reviewing the ingredient list of any product before use. We recommend performing a patch test before full use. If you experience any adverse reaction, discontinue use immediately and consult a healthcare professional.
Our products are intended for external use only unless otherwise indicated. They are not intended to diagnose, treat, cure, or prevent any disease, and no statements on the Site have been evaluated by the U.S. Food and Drug Administration.
7. User Accounts and User-Generated Content
Submissions. The Site may allow you to submit reviews, comments, photos, ratings, or other content (“User Content”). You retain ownership of your User Content, but by submitting it, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display the User Content in any media and for any lawful business purpose, including marketing.
Your Representations. You represent and warrant that: (a) you own or have all necessary rights to your User Content; (b) your User Content does not infringe any third party’s rights; and (c) your User Content complies with these Terms and all applicable laws.
Prohibited Content. You agree not to submit User Content that:
• Is unlawful, fraudulent, defamatory, obscene, harassing, threatening, or hateful;
• Infringes any intellectual property, privacy, or other right of any person or entity;
• Contains viruses, malware, or other harmful code;
• Impersonates another person or misrepresents your affiliation;
• Contains unsolicited advertising, spam, or chain communications; or
• Violates any applicable law or regulation.
We have the right, but not the obligation, to monitor, edit, or remove any User Content at our sole discretion, and to terminate accounts of users who violate these Terms.
8. Acceptable Use
You agree not to:
• Use the Site for any unlawful purpose or in violation of these Terms;
• Interfere with or disrupt the Site, its servers, or networks;
• Attempt to gain unauthorized access to any portion of the Site or to other users’ accounts;
• Use any automated means (such as bots, scrapers, or spiders) to access or collect data from the Site without our written permission;
• Reverse engineer, decompile, or attempt to extract source code from the Site;
• Use the Site to transmit advertising, promotional materials, or other solicitations without our consent; or
• Engage in any conduct that restricts or inhibits any other user’s use or enjoyment of the Site.
9. Intellectual Property
The Site and all content on it, including text, graphics, logos, images, product photographs, software, and the “Gilded Shimmer Soaps” name and trademarks, are owned by or licensed to us and are protected by U.S. and international intellectual property laws. Except as expressly permitted in these Terms, you may not copy, reproduce, modify, distribute, publicly display, or create derivative works from any portion of the Site without our prior written permission.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes in accordance with these Terms.
10. Third-Party Links and Services
The Site may contain links to third-party websites, products, or services that are not owned or controlled by us. We are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to the terms of those third parties.
11. Privacy
Your use of the Site is also governed by our Privacy Policy, available on the Site, which describes how we collect, use, and disclose information about you. By using the Site, you consent to our collection and use of information as described in the Privacy Policy.
12. Disclaimer of Warranties
THE SITE AND ALL PRODUCTS AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY PRODUCT WILL MEET YOUR EXPECTATIONS.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL GILDED SHIMMER SOAPS OR ITS OWNERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR ANY PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR ANY PRODUCTS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above limitations may not apply to you.
14. Dispute Resolution; Binding Arbitration; Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO PARTICIPATE IN A CLASS ACTION.
Informal Resolution. Before filing a claim, you agree to attempt to resolve the dispute informally by contacting us in writing and providing a brief description of the dispute and your contact information. We will attempt to resolve the dispute in good faith within sixty (60) days.
Binding Arbitration. If the dispute is not resolved informally, you and Gilded Shimmer Soaps agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any products will be resolved through final and binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. The Federal Arbitration Act governs the interpretation and enforcement of this provision.
Arbitration Procedure. The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration will be conducted in Nebraska, or another mutually agreed location, or by telephone or video conference where permitted. The arbitrator’s decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
Class Action Waiver. YOU AND GILDED SHIMMER SOAPS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding.
Opt-Out. You may opt out of this arbitration agreement by sending written notice to us at the contact address below within thirty (30) days after first agreeing to these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out.
15. Governing Law and Venue
These Terms and any dispute arising out of or related to them or the Site will be governed by and construed in accordance with the laws of the State of Nebraska, without regard to its conflict of laws principles. Subject to the arbitration provisions in Section 14, you and we agree that any judicial proceeding (other than small claims actions) will be brought exclusively in the state or federal courts located in Nebraska, and you consent to personal jurisdiction and venue in those courts.
16. Indemnification
You agree to indemnify, defend, and hold harmless Gilded Shimmer Soaps and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any law or third-party right.
17. Termination
We may suspend or terminate your access to the Site or your account at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Site will immediately cease. Sections that by their nature should survive termination, including Sections 7, 9, 12, 13, 14, 15, and 16, will survive.
18. Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms on the Site and update the “Last Updated” date above. Material changes will be communicated through the Site or by email where appropriate. Your continued use of the Site after changes take effect constitutes your acceptance of the updated Terms.
19. Miscellaneous
Entire Agreement. These Terms, together with our Privacy Policy and any policies referenced on the Site, constitute the entire agreement between you and us regarding the Site and supersede all prior agreements.
Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
No Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely.
Force Majeure. We will not be liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, labor disputes, or supplier failures.
